Zywave and Travelers settle $10 million contract dispute over ClarionDoor
On December 4th, we reported that the lawsuit between Zywave and Travelers was ongoing, with the most recent activity being an informal discovery conference on October 24, 2024. A jury trial had been scheduled for August 4, 2025.
Now, the parties appear to have reached a settlement. According to a document filed on January 14, 2025:
“Plaintiff ZYWAVE, INC. and Defendant TRAVELERS EXCESS AND SURPLUS LINES COMPANY hereby notify the Court that the parties have reached a settlement in this action. The parties are in the process of finalizing and executing a written settlement agreement that will include the filing of a stipulation of dismissal of this action. The parties request that the Court take all dates off calendar.”
Background
A year ago, we reported that Zywave, a company with three decades of experience in the insurance software sector, had initiated a lawsuit against its insurer, Travelers Excess and Surplus Lines Company, a subsidiary of Travelers. The dispute centered on allegations that Travelers breached contractual obligations by failing to cover $10 million in damages. Zywave claimed the damages stemmed from misrepresentations by ClarionDoor, a property and casualty (P&C) insurance software firm it acquired in late 2021.
Founded in 1995 and headquartered in Milwaukee, Zywave, owned by Clearlake Capital and Aurora Capital, specializes in front-end technology for submissions and ratings with a focus on underwriting workbenches. Serving approximately 15,000 brokers, the company provides tools to enhance client management and optimize workflows.
Zywave has since undergone leadership changes, with Jason Liu no longer part of the organization.
