A Closer Look at Guidewire’s hx Deal
Last week, Guidewire announced an agreement to acquire hyperexponential (hx) for a base purchase price of $1.7 billion in cash, subject to adjustments, plus up to $400 million in contingent consideration tied to specified recurring revenue targets.
Founded in 2017, the London-based company offers an underwriting platform for commercial P&C insurance. Its technology has powered underwriting decisions across more than $75 billion in annual commercial P&C premium for insurers, reinsurers, and managing general agents.
“We founded hyperexponential on the conviction that underwriting judgment is the highest-leverage work insurers do,” said Amrit Santhirasenan, CEO and co-founder.
But a well-priced policy that nobody buys generates no business. Distribution gets it off the shelf; underwriting determines whether selling it is profitable. Everyone has a role, and the quote suits a company that operates behind the scenes and is set to join another that does the same.
This report takes a closer look at the deal: what the companies say, what employees say, what the filings reveal, and where hyperexponential fits within a growing ecosystem of pricing and underwriting startups—as the line between actuary and underwriter begins to blur.
